Please read these Terms of Service ("Terms") carefully before using the services offered by Juaso Insight LLC ("Juaso Insight," "we," "us," or "our"). These Terms govern your access to and use of our website, membership, courses, coaching, and any other products or services we offer (together, the "Services").
By creating an account, purchasing a membership, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
Juaso Insight LLC is a Rhode Island-registered trade facilitation and education business. We help Ghanaian sellers and businesses navigate entry into U.S. e-commerce and retail marketplaces (such as Amazon, Walmart, Etsy, TikTok Shop, Shopify, Faire, Target Plus, Macy's, and JCPenney).
Juaso Insight is a facilitator, not a principal. We coordinate, educate, and connect you with the resources, partners, and steps needed to enter the U.S. market. Unless you've specifically engaged our Track B service (see Section 3), we do not act as your seller-of-record, importer-of-record, or legal owner of your marketplace accounts. You retain ownership and responsibility for your own business.
You must be at least 18 years old and able to form a legally binding contract to use our Services. By using our Services, you confirm that you meet these requirements. If you're registering on behalf of a business, you confirm you have authority to bind that business to these Terms.
You agree to provide accurate, current information when creating an account, to keep your login credentials secure, and to notify us promptly of any unauthorized use of your account. You're responsible for all activity that occurs under your account.
We offer several tiers of service, described at the time of purchase and subject to change:
Core Membership ($15/month): Access to our drip-scheduled course, "Start Selling in the US E-Commerce Market," downloadable resources, and Platform Pulse (ongoing compliance and sourcing updates)
Prepare: A flat-fee Export Readiness Report delivered via one-on-one coaching
Track A: Setup support where you retain ownership of your own marketplace accounts; you pay a setup fee plus applicable fulfillment fees
Track B: A more comprehensive arrangement where Juaso Insight (or an affiliated entity) acts as Importer of Record and seller-of-record on your behalf, for a setup fee, monthly base fee, and revenue share, plus separate fulfillment fees
Add-On Task Support: À la carte help with specific tasks (e.g., EIN prep, LLC filing, platform application prep, listing creation) at fees disclosed at the time of purchase
Current pricing is listed on our website and is subject to change. All pricing is in U.S. dollars. We may add, modify, or discontinue features of the Services at any time.
We help you understand and navigate the process of entering U.S. marketplaces. However:
We do not guarantee approval onto any marketplace, platform, or program. Approval decisions are made solely by the relevant platform (Amazon, Walmart, etc.) based on their own criteria.
We do not guarantee sales, revenue, or business outcomes. Your results depend on many factors outside our control, including your product, market conditions, and platform policies.
We are not a law firm and do not provide legal advice. Where our course or coaching touches on legal topics (business formation, compliance, customs, taxes), this is general educational information, not a substitute for advice from a licensed attorney.
We are not a licensed tax preparer, CPA, or Enrolled Agent. Tax-related tasks (such as IRS Form 5472 filing) must be handled by your own licensed tax professional. We can refer you to one, but we do not prepare or file taxes on your behalf.
Regulatory programs and requirements change. References to programs such as AGOA (African Growth and Opportunity Act) reflect information at the time of writing; you are responsible for verifying current status and requirements before relying on them.
When using our Services, you agree to:
Provide accurate, current information about yourself and your business
Comply with all applicable laws, including U.S. import/export regulations, marketplace policies, and Ghanaian business regulations
Retain responsibility for the legality, safety, and accuracy of your own products and product claims (including country-of-origin marking and any "Made in" claims)
Not use our Services for any unlawful purpose, including misrepresenting your business or products
Keep your account credentials secure and notify us of any unauthorized use
You are solely responsible for decisions you make about which platforms to join, which vendors or partners to use, and how to run your business. We provide options and information; you make the choices.
While using our Services, you agree not to:
Upload, submit, or share any content that is false, misleading, unlawful, infringing, defamatory, or that violates another party's rights (including intellectual property or privacy rights)
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Interfere with or disrupt the proper functioning of our Services, including through automated scripts, scraping, or attempts to bypass access restrictions
Share your account access or resell, redistribute, or sublicense access to our course content or membership without our written permission
Use our Services to submit anyone's sensitive personal or financial information (such as ID documents or account credentials) except where our Services are specifically designed to collect that information for a task you've requested (e.g., EIN or LLC filing support)
We may remove content, suspend access, or take other reasonable action if we believe these Rules of Conduct have been violated.
Membership billing recurs monthly (or per the billing cycle shown at signup) and will continue until you cancel. By subscribing, you authorize us (through our payment processor) to charge your chosen payment method on a recurring basis without further authorization from you for each period, until you cancel.
You're responsible for keeping your payment information current and complete. If a charge fails, we may retry it or suspend access to paid features until payment is resolved.
You may cancel your membership at any time through your account settings. Cancellation takes effect at the end of your current billing period; we do not provide prorated refunds for partial periods.
We may change membership pricing with advance notice. Continued use after a price change constitutes acceptance of the new pricing.
A free trial, where offered, converts to a paid membership automatically at the end of the trial unless you cancel before the trial ends. You're responsible for canceling before the trial ends if you don't want to be charged.
Membership: No refunds for the current billing period once it has started; you may cancel to avoid future charges.
Prepare, Track A, Track B, and Add-On Task Support: Because these involve work performed on your behalf (research, document prep, coordination with partners or platforms), fees are generally non-refundable once work has begun. If you believe there's been an error or service failure, contact us and we'll review your situation individually.
We may refer you to third-party partners (for example, for LLC formation, banking, fulfillment, or insurance) to help you complete specific tasks. Where we receive a referral fee or commission from a partner, we will disclose that connection to you before you proceed, consistent with FTC guidance.
We are not responsible for the acts, omissions, pricing, or service quality of third-party partners. Any agreement you enter with a partner is between you and that partner, governed by their own terms.
You are always free to source your own vendors and are never required to use a partner we recommend.
Our Services may reference or link to third-party websites, platforms, or resources (such as marketplace sign-up pages or government sites) that we don't own or control. We're not responsible for the content, accuracy, or practices of those third-party resources, and linking to them doesn't mean we endorse them. You access third-party resources at your own risk.
All course content, downloadable materials, templates, and other materials we provide are owned by Juaso Insight LLC (or licensed to us) and are protected by copyright and other intellectual property laws.
Your membership grants you a personal, non-transferable license to access and use course content for your own business. You may not copy, resell, redistribute, or publicly share our course content or materials without our written permission.
Feedback, questions, or content you submit to us (e.g., in coaching sessions or support requests) may be used by us to improve our Services, but we will not publicly attribute identifying business details to you without your permission.
Platform Pulse and other informational content we provide (compliance alerts, sourcing ideas, etc.) are provided for general informational purposes. Marketplace policies, trade programs, and regulations change frequently. While we aim to keep this content current, you are responsible for verifying critical compliance requirements directly with the relevant platform or government agency before making business decisions.
Our support team responds to content-related questions within 3 business days. Support covers questions about course content and general navigation of our Services; it does not constitute personalized legal, tax, or business advice specific to your situation. For that, add-on coaching, Prepare, or a referral to a licensed professional may be appropriate.
You agree to defend, indemnify, and hold harmless Juaso Insight LLC, its officers, employees, and affiliates (including Mazeprime and BCMS) from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (i) your use or misuse of our Services; (ii) your violation of these Terms; (iii) your violation of any law or third-party right, including in connection with your own products, business, or marketplace listings; or (iv) information you provide to us or our partners that turns out to be false or misleading.
Our Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that any marketplace or platform will approve your application. Your use of our Services is at your own risk.
To the fullest extent permitted by law, Juaso Insight LLC and its officers, employees, and affiliates (including Mazeprime and BCMS) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of our Services — even if we've been advised of the possibility of such damages.
Our total liability to you for any claim arising from these Terms or our Services will not exceed the greater of (a) the amount you paid us for the specific Service giving rise to the claim in the 12 months preceding the claim, or (b) $500.
Nothing in these Terms limits liability that cannot be limited under applicable law.
We may suspend or terminate your access to our Services if you violate these Terms, engage in fraudulent or harmful conduct, or for other reasonable business reasons, with notice where practicable. You may stop using our Services and cancel your membership at any time as described in Section 7.
We may update these Terms from time to time. We'll notify you of material changes by email or by posting a notice on our site. Continued use of our Services after changes take effect means you accept the updated Terms. It's your responsibility to review these Terms periodically.
These Terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law principles. Before filing a formal claim, you agree to first contact us at the email below so we can try to resolve the issue informally. Any legal action not resolved informally will be brought in the state or federal courts located in Rhode Island, and you consent to jurisdiction there.
Entire Agreement: These Terms (together with our Privacy Policy) are the entire agreement between you and us regarding our Services, and supersede any prior agreements or communications on the subject.
Severability: If any part of these Terms is found unenforceable, that part will be limited or removed to the minimum extent necessary, and the rest of these Terms will remain in effect.
Force Majeure: We're not liable for failing to perform our obligations due to causes beyond our reasonable control, including internet or communications failures, natural disasters, or acts of government.
Assignment: You may not transfer your rights or obligations under these Terms without our written consent. We may assign or transfer our rights and obligations without your consent, including in connection with a merger, acquisition, or sale of assets.
No Agency or Partnership: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Juaso Insight LLC.
No Waiver: Our failure to enforce any part of these Terms doesn't waive our right to enforce it later.
Notices: We may send notices to you by email or by posting on our site. You can send notices to us using the contact details below.
